# AMD World Labs Acquisition: What the $8.2B Form 8-K Says

Advanced Micro Devices (AMD) agreed on September 26, 2026 to buy World Labs, the San Francisco AI lab led by Fei-Fei Li, for about $8.2 billion, paid entirely in newly issued AMD common stock. AMD announced the deal on September 28, 2026, filed a [Form 8-K](/glossary/form-8-k/) with the SEC the same day, and expects the deal to close by the end of 2026 once regulators sign off.

## TL;DR

## What happened

According to AMD's press release, AMD signed a definitive agreement to acquire World Labs, which it calls an AI model and research lab. After closing, the World Labs team will keep doing model research, and Li will become AMD's executive vice president and chief scientist, reporting to CEO Lisa Su.

The merger agreement is dated Saturday, September 26. The announcement followed on Monday, September 28, after the market closed. CNBC reported that AMD was already a World Labs investor, will keep the lab apart from its chip business until closing, and ranks this as its second-largest acquisition after Xilinx. Fortune noted that headcount was not disclosed.

## What AMD's Form 8-K says

The filing reports one item, Item 3.02 (Unregistered Sales of Equity Securities), and does not attach the merger agreement. Three points rarely make the headlines.

**1. The share count floats.** The price is a dollar amount. To convert it into shares, AMD takes the daily VWAP of its stock on the Nasdaq Global Select Market over 10 consecutive trading days. The window ends on, and includes, the second trading day before closing. VWAP weights each trade's price by its volume. If AMD stock falls before closing, World Labs holders receive more shares for the same dollar value. If it rises, they receive fewer.

**2. Nobody knows the count yet.** The 8-K says so directly. SignalStack's own illustration, not a forecast: AMD's latest 10-Q lists 1,632 million shares outstanding at June 27, 2026, and a $423.02 average price for shares withheld for employee taxes in April–June. At that price, $8.2 billion equals about 19 million shares, roughly 1.2% of shares outstanding. The actual count depends on AMD's price during the VWAP window and on the adjustments.

**3. It is a private placement.** Section 4(a)(2) exempts issuer sales that don't involve a public offering, and the SEC calls Rule 506(b) a "safe harbor" under it. AMD says there will be no public solicitation or advertising. Per the SEC, Rule 506(b) buyers receive "restricted securities," which can't be freely resold, and the issuer files a Form D within 15 days of the first sale. The 8-K does not say whether AMD will register the shares for resale or whether any lock-up applies.

Why Item 3.02? SEC Form 8-K instructions require it once unregistered equity sales reach 1% of the outstanding class (5% for smaller reporting companies). The rough 1.2% estimate above fits that, though AMD doesn't explain its calculation.

## What World Labs builds

Li co-founded World Labs in 2024, TechCrunch reported. AMD's release says the company builds spatial-intelligence models, which create, reconstruct and simulate interactive 3D environments from text, image or video prompts. It also builds tools for robot learning and simulation. Its first product, Marble, is marketed both for entertainment and for building simulated worlds to train robots, according to TechCrunch. CNBC described a demo earlier this year in which Li and Su used Marble to build a 3D scene from a few photos. Fortune put World Labs' total funding at roughly $1 billion.

Li, a Stanford computer science professor, built the ImageNet dataset and was previously chief scientist at Google Cloud.

## Why AMD says it wants World Labs

AMD's argument is about planning. The release says AI is moving into reasoning, robotics, simulation and physical AI, which puts more varied demands on hardware, and an in-house model team gives AMD an earlier view for its chip roadmap. The two have worked together on training and inference optimization since last year (TechCrunch, Fortune).

Analysts quoted by Yahoo Finance offered similar readings. Tech analyst Patrick Moorhead called it "a talent and model-insight buy, not a revenue play." Citigroup's Atif Malik listed three likely motives: hiring more top AI engineers, gaining ground in physical AI, and building better end-to-end systems.

### The Nvidia angle

Coverage frames the deal against [Nvidia](/company/nvidia/). TechCrunch noted that Nvidia already offers [open-weight](/glossary/open-weight-model/) world models such as Cosmos, while AMD has released only text and video models. Fortune said Nvidia also partners with world-model startups such as Wayve. CNBC reported Nvidia has committed a combined $33 billion to Groq and Hugging Face.

The Xilinx 8-K also set an outside date and termination fees of $1–1.5 billion, including $1 billion payable by AMD if regulatory approvals failed. The World Labs filings disclose neither. Xilinx was a public chipmaker with its own revenue. World Labs is a private lab, and AMD has not disclosed its revenue.
